We are Two Sparrows Consulting, LLC, an electronic payments consulting firm.  From strategy to product development to
operational excellence to training to project management to M&A support, we are a complete source for every type of retail
payments related management consulting.

Our company was started in March, 2003 by our founder and President, Paul Tomasofsky.  We are young at heart but well-
experienced in the changing world of payments.

Earlier, he was Vice President of Advanced Products for NYCE, responsible for developing emerging products including
SafeDebit, an Internet PINned debit payment product.

In the mid 90s, Mr. Tomasofsky was Director of Implementations for Visa Interactive, where he was a pioneer in remote
banking and electronic bill pay delivery.  At the beginning of his career, he managed a national merchant credit card acquiring
portfolio and introduced one the earliest offline debit card programs, both for First National Bank of Maryland.

Mr. Tomasofsky is also President and Executive Director of the Secure Remote Payment Council and the former Executive Vice
President and Chief Operating Officer of the Network Branded Prepaid Card Association.  He is often quoted in industry and
general publications and is a frequent speaker on retail payment delivery topics.  Mr. Tomasofsky has an MBA from Loyola
College in Maryland and a BA with Honors in Economics from the Pennsylvania State University.

Our founder and President is Paul Tomasofsky.

Mr. Tomasofsky is a seasoned payment systems executive with 30 years experience in retail financial
services including credit card acquiring, debit card issuing and acquiring, ATM management, ACH and
Internet payments, and check truncation.  He is also experienced in mergers and acquisitions with an
emphasis on business development efforts in regard to electronic payment companies.

Before founding Two Sparrows Consulting, Mr. Tomasofsky was Vice President of Strategic Business
Development for NYCE Corporation, Montvale, NJ.  There, he was responsible for engaging other
payment companies in alliances, strategic partnerships, and acquisitions.

Our Partner  is Kathy Tomasofsky.

Kathy Tomasofsky is an experienced operations and project management professional with more
than 20 years of experience in Insurance and Financial Services.  Most recently, Ms. Tomasofsky
served as the Senior Director of Operations for the Network Branded Prepaid Association (NBPCA).  In
this role, Ms. Tomasofsky provided management of the Association operations including event and
marketing planning, financial review, business development, and member communications. Ms.
Tomasofsky managed the Prepaid Financial Crimes Task Force (FCTF) and was the fraud liaison to
regulator and law enforcement agencies, as well as an Advisory Board Member of IAFCI.
Prior to joining Two Sparrows Consulting, Ms. Tomasofsky held various senior systems management level positions at
USF&G Insurance and First National Bank of Maryland. Ms. Tomasofsky was responsible for the development of a number
of Financial Systems; Accounting, Budget and Controls, Human Resources & Payroll, Investment Tracking Systems, Billing
and Payment systems. Her work covered all aspects of the System Development Life Cycle, including involvement in
re-engineering operations, training and education development and operational roll-outs.

Active in the community, Ms. Tomasofsky held elected office as a Member of the Montvale Board of Education (2002 To
2005) and served as the Chairperson of the Finance and Technology Committees during this period.  She has also been a
volunteer coordinator/officer for the Cancer Society, regional dance studio productions, high school athletic booster club
activities, Girls Scouts, Montvale Athletic League and the Montvale PTO.

Ms. Tomasofsky earned an MS in Management Information Systems from the University of Baltimore and a BA in Business
Administration from Loyola College in Maryland. She holds a MAT degree from Fairleigh Dickinson College, in New Jersey
and has certifications in Project Management and Insurance.
